Terms of Use
The following terms and conditions (the “Agreement”) govern all use of SellBigger.io INC Technology & Services (the “Services”), including but not limited to Cloud Lead Assignment, Cloud Account Matcher, Predictable Revenue Pipeline, SellBigger.io INC Data Automation, SellBigger.io INC Referrals, SellBigger.io INC Conversation Guide, CLAMP Task Activity Outcome by SellBigger.io INC, Cloud Contact Role Validations. The Service is owned and operated by SellBigger.io INC, (“SellBigger.io INC”). The Service is offered subject to your (and the organization you represent) (together, “User”) acceptance without modification of all terms and conditions contained herein and all other operating rules, policies and procedures that may be published from time to time on SellBigger.io INC (the “Website) by SellBigger.io INC. BY USING OR ACCESSING ANY PART OF THE SERVICE, YOU AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN; IF YOU DO NOT AGREE, DO NOT USE OR ACCESS THE SERVICE.
SellBigger.io INC reserves the right, at its sole discretion, to modify or replace any of the terms or conditions of this Agreement at any time. It is User’s responsibility to check this Agreement periodically for changes. User’s continued use of the Service following the posting of any changes to this Agreement constitutes acceptance of those changes.
- ACCESS.
Subject to the terms and conditions of this Agreement, the Service is solely for User’s personal use. SellBigger.io INC may change, suspend or discontinue the Services at any time, including the availability of any feature, database, or content. SellBigger.io INC may also impose limits on certain features and services or restrict User’s access to parts or all of the Services without notice or liability.
User certifies to SellBigger.io INC that if User is an individual (i.e. not a corporation), User is at least 18 years of age. User also certifies that it is legally permitted to use the Service, and takes full responsibility for the selection and use of the Service. This Agreement is void where prohibited by law, and the right to access the Service is revoked in such jurisdictions.
User shall be responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access the Service, including, without limitation, modems, hardware, software, and long distance or local telephone service. User shall be responsible for ensuring that such equipment or ancillary services are compatible with the Service.
- RESTRICTIONS.
User shall not, nor permit anyone else to, directly or indirectly: (i) reverse engineer, disassemble, decompile or otherwise attempt to discover the source code or underlying algorithms of all or any part of the Service (except that this restriction shall not apply to the limited extent restrictions on reverse engineering are prohibited by applicable local law); (ii) modify or create derivatives of any part of the Service; (iii) rent, lease, or use the Service for time sharing or service bureau purposes; or (iv) remove or obscure any proprietary notices on the Service. As between the parties, SellBigger.io INC shall own all title, ownership rights, and intellectual property rights in and to the Service, and any copies or portions thereof.
User shall not use any “deep-link”, “page-scrape”, “robot”, “spider” or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Service or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Service or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Service. SellBigger.io INC reserves the right to bar any such activity.
User shall not attempt to gain unauthorized access to any portion or feature of the Service, or any other systems or networks connected to the Service or to any SellBigger.io INC server, or to any of the services offered on or through the Service, by hacking, password “mining”, or any other illegitimate means.
User shall not probe, scan or test the vulnerability of the Service or any network connected to the Service, nor breach the security or authentication measures on the Service or any network connected to the Service.
User shall not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Service or SellBigger.io INC’s systems or networks, or any systems or networks connected to the Service or to SellBigger.io INC.
User shall not use any device, software or routine to interfere or attempt to interfere with the proper working of the Service or any transaction being conducted on the Service, or with any other person’s use of the Service.
User shall not use the Service or any Content for any purpose that is unlawful or prohibited by this Agreement.
- FEES.
User will be responsible for, and will pay, all such fees as described in the SellBigger.io INC Order Form (the “Order Form”) that identifies SellBigger.io INC’s products and services ordered by Customer which is accepted by SellBigger.io INC, which is incorporated by this reference and shall take precedence over this Agreement in the event of a conflict.
- CONTENT.
User agrees that all content and materials (collectively, “Content”) delivered via the Service or otherwise made available by SellBigger.io INC at the Website are protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. Except as expressly authorized by SellBigger.io INC in writing, User agrees not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from such materials or content. However, User may print or download a reasonable number of copies of the materials or content at this Website for User’s own informational purposes; provided, that User retain all copyright and other proprietary notices contained therein. Reproducing, copying or distributing any content, materials or design elements on the Website for any other purpose is strictly prohibited without the express prior written permission of SellBigger.io INC.
- INDEMNIFICATION.
User is responsible for all of its activity in connection with the Service. User shall defend, indemnify, and hold harmless SellBigger.io INC, its affiliates and each of its, and its affiliates employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including reasonable attorneys’ fees, that arise from (i) User’s use or misuse of the Service; (ii) User’s access to any part of the Service, (iv) and content, information or materials used by User in connection with the Service, or (iv) User’s violation of this Agreement.
- WARRANTIES.
User Warranties to SellBigger.io INC. User represents and warrants that: (i) with respect to all information it provides to SellBigger.io INC, User has the full right and authority to make such provision and to allow SellBigger.io INC to use such information to provide the Service (including, without limitation, for SellBigger.io INC to provide such information to its data providers), (ii) none of the content (e.g. emails) transmitted, uploaded or otherwise distributed by it (or its partners or any third party) through use of the Service will infringe or otherwise conflict with the rights of any third party, and (iii) it will use the Service only in compliance with all applicable and regulations laws.
- WARRANTY DISCLAIMER.
EXCEPT AS EXPRESSLY SET FORTH IN SECTION 8, THE SERVICE IS PROVIDED ON AN “AS IS” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SellBigger.io INC MAKES NO WARRANTY THAT (I) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR (II) THE RESULTS OF USING THE SERVICE WILL MEET USER’S REQUIREMENTS.
- LIMITATION OF LIABILITY.
IN NO EVENT SHALL SellBigger.io INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, VENDORS OR SUPPLIERS BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL THEORY WITH RESPECT TO THE SERVICE: (I) FOR ANY LOST PROFITS OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, EVEN IF FORESEEABLE, (II) FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE (REGARDLESS OF THE SOURCE OF ORIGINATION), OR (III) FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) $100.00 (U.S.) (PROVIDED THAT, IF USER HAS PAID FEES TO SellBigger.io INC SUCH AMOUNT WILL BE EQUAL TO THE FEES PAID BY USER TO SellBigger.io INC DURING THE SIX (6) MONTH PERIOD IMMEDIATELY PRIOR TO THE DATE THE CAUSE OF ACTIONS ACCRUES). In addition, SellBigger.io INC shall not be liable for any loss or liability resulting, directly or indirectly, from User’s inability to access or otherwise use the Services including, without limitation, any delays or interruptions due to electronic or mechanical equipment failures, denial of service attacks, date data processing failures, telecommunications or Internet problems or utility failures. THE FOREGOING LIMITATIONS SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.
- TERMINATION.
SellBigger.io INC may terminate this Agreement at any time, upon notice to User (which may be via email). User may terminate this Agreement in accordance with the terms set forth in the order form and with written consent from SellBigger.io INC. Upon termination notice from SellBigger.io INC, User will no longer access (or attempt to access) the Service. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, warranty disclaimers and limitations of liability.
- EXPORT & TRADE CONTROLS.
User agrees not to import, export, re-export, or transfer, directly or indirectly, any part of the Service or any information provided on or pursuant to the Service except in full compliance with all United States, foreign and other applicable laws and regulations.
- PRIVACY.
SellBigger.io INC’s current privacy policy is available at website: www.sellbigger.com/legal (the “Privacy Policy”), which is incorporated by this reference. SellBigger.io INC strongly recommends that you review the Privacy Policy closely.
- COPYRIGHT.
All content included with the Services and on the Website, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of SellBigger.io INC or its content suppliers and protected by United States and international copyright laws. The compilation of all content on the Website is the exclusive property of SellBigger.io INC and protected by U.S. and international copyright laws. All software used on (or provided through) the Website and the Services is the property of SellBigger.io INC or its software suppliers and protected by United States and international copyright laws.
- MISCELLANEOUS.
The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. SellBigger.io INC shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond SellBigger.io INC’s reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including “line-noise” interference). If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable or sublicensable by User except with SellBigger.io INC’s prior written consent. SellBigger.io INC may transfer, assign or delegate this Agreement and its rights and obligations without consent. This Agreement shall be governed by and construed in accordance with the laws of the State of California, as if made within California between two residents thereof, and the parties submit to the exclusive jurisdiction and venue of the state and Federal courts located in Santa Clara, California. Both parties agree that, to the extent that the parties are already party to a validly existing contract as at the date of this Agreement (“Pre-Existing Agreement”), then the terms of the Pre-Existing Agreement shall take precedence over this Agreement in the event of a conflict. However, if no Pre-Existing Agreement exists, then both parties agree that this Agreement constitutes the complete and exclusive statement of the mutual understanding of the parties and supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of this Agreement, and that all modifications must be in a writing signed by both parties, except as otherwise provided herein. No agency, partnership, joint venture, or employment is created as a result of this Agreement and User does not have any authority of any kind to bind SellBigger.io INC in any respect whatsoever.

Non-Recruitment Clause
During the term of the agreement and for a period of two (2) years following termination of the agreement, SellBigger.io INC Customer will not directly or indirectly hire any of SellBigger.io INC’s employees, or solicit any of SellBigger.io INC’s employees for the purpose of hiring them or inducing them to leave their employment with SellBigger.io INC, nor will the SellBigger.io INC Customer own, manage, operate, join, control, consult with, participate in the ownership, management, operation or control of, be employed by, or be connected in any manner with any person or entity which engages in the conduct proscribed in this Non-Recruitment clause. This provision shall not preclude SellBigger.io INC Customer from responding to a request (other than by SellBigger.io INC Customer’s employer) for a reference with respect to an individual’s employment qualifications. Any SellBigger.io INC Customer in violation of this Non-Recruitment clause will be subject to a fine of $75,000.00 and compensatory and punitive damages.

SellBigger.io INC Privacy Policy – SellBigger.io INC understands that you care about how information about you is used. This privacy policy (the “Policy”) explains how we collect information pertaining to businesses and business people (“Business Information”) and all other types of information through our website and online services (the “Site”); how we maintain, use and share that information; and how you can manage the way information about you is handled.

Where does SellBigger.io INC get the Business Information for its Public Profiles?
SellBigger.io INC creates profiles of business people and companies, which we call “Public Profiles,” from different sources. Once we have collected Business Information about a person or company, we combine multiple mentions of the same person or company into a Public Profile. The resulting directory of Public Profiles (the “Database”) is then made available to the users of the Site and our customers and strategic partners.
SellBigger.io INC obtains the data for its Public Profiles in several ways including:
- Our search technology scans the web and gathers publicly-available Information.
- We license Information from other companies.
- Users contribute Business Information about themselves or other people and companies.
- Through market research surveys and phone interviews conducted by our in-house research team.
How Else Does SellBigger.io INC Collect & Use Information?
Visitors to our Site may choose to submit their name, email address and/or other information so that they can learn more about our services, register to take part in a SellBigger.io INC-sponsored event, or participate in a survey, contest or sweepstakes, among other things. By accessing, using, and/or submitting information through the Site, you consent to the practices described in this Policy with regard to the information collected thereby as described herein. If you do not agree with this Policy, you must delete all cookies from your browser cache after visiting the Site and refrain from visiting or using the Site.
In order to use certain SellBigger.io INC products and services, you may be required to register as a user. From time to time, we may use your email address to send you information and keep you informed of products and services in which you might be interested. SellBigger.io INC may aggregate collected information about our users in a form that does not allow users to be personally identified for the purpose of understanding our customer base and enhancing the services that we and our strategic partners and customers can provide you.
SellBigger.io INC will use personal information only in ways that are compatible with the purposes for which it was collected or subsequently authorized by the individual about whom the information pertains. Customer Information Collected
SellBigger.io INC may collect the following information from or regarding its customers: (1) personal contact information regarding users of the Services (“User Information”); and (2) information uploaded to our system by a user of the Services (“Uploaded Information”).

SellBigger.io INC employs reasonable security and back-up procedures to protect Customer Information. However, in the unlikely event there is a loss or corruption of Customer Information, SellBigger.io INC is not responsible or liable for such loss or corruption. We encourage our users to retain copies of all Uploaded Information on their own system.
When Does SellBigger.io INC Share Information?
Disclosures of Public Profiles
We may make any Business Information that our users contribute for inclusion in our Database, that we collect from public web sources or that we license from third parties available to users of the Site, to our strategic partners, and to our customers.
Disclosures to Service Providers
SellBigger.io INC may from time to time disclose Business Information or other collected information to service providers, solely for providing functions related to our operation of the Site and for no other purpose.
For example:
SellBigger.io INC uses service providers to process credit card payments on our Site. When you use a credit card to pay for SellBigger.io INC services, information such as your name, billing address, phone number, email address and credit card Information will be submitted to service providers for verification and to manage any recurring payments.
SellBigger.io INC uses software hosted by a service provider to provide us with information regarding our visitors’ activities on our Site. When you visit our Site, that service provider may set cookies on our behalf and may receive information about your browsing activity on our Site.

Disclosures to a Buyer of the Company
If our company or substantially all of our assets are acquired, or in the event of a merger or bankruptcy, information about you and/or information you provide to SellBigger.io INC may be among the transferred assets. You will be notified via email and/or a prominent notice on our Site of any change in ownership or uses of your personal information, as well as any choices you may have regarding your personal information.
Other Disclosures
If you register for a SellBigger.io INC event with a third-party speaker, your information will generally be shared with the speaker.
If you provide information, including Business Information, in creating or updating your Public Profile, that information will be included in the Database and thus can be viewed by third parties.
We post customer testimonials on our Site which may contain the customer’s name. We always get consent from the customer prior to posting any testimonial. If you wish to update or delete your testimonial, you can contact us.
Our Site offers publicly accessible blogs or community forums. You should be aware that any content you provide in these areas may be read, collected, and used by others who access them. You can request the removal of your personal information from our blog or community forum, by contacting us at support@SellBigger.io. In some cases, we may not be able to remove your personal information, in which case we will let you know if we are unable to do so and why.
How Can You Change or Delete Your Information?

To find out if you are in the SellBigger.io INC database, send an email to support@SellBigger.io. If you have a common name, please provide your geographical location or companies where you have worked.

SellBigger.io INC is a specialized web search engine, similar to Google but focused on finding information about companies and professionals. We gather all information about companies from corporate web sites, press releases, and/or SEC documents filed with the US government. The company summaries are created automatically by SellBigger.io INC’s software based on the information we find on those documents.
As a company policy, SellBigger.io INC does not remove company information from our search engine.
If any of the company information is incorrect, please update your company profile.
Data Retention
We will retain your information for as long as your account is active or as needed to provide you services. We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
How Can You Opt Out of Certain Uses of Your Information?
SellBigger.io INC gives you the opportunity to “opt out” of having your information used for certain purposes.
If you no longer wish to receive our newsletter and promotional communications, you may opt-out of receiving them by following the instructions included in each newsletter or communication or by visiting /unsubscribe. After we receive your request, we will send you an email message to confirm that you have been unsubscribed.
SellBigger.io INC will not share information about you that you submit when you register for our services with third parties for promotional uses unless you opt in to such sharing within your SellBigger.io INC account or SellBigger.io INC has separately acquired such information from other sources, in which case SellBigger.io INC will give you the opportunity to opt out via email.
If you have opted in to share your personal information with SellBigger.io INC subscribers, you may opt out by emailing support@SellBigger.io.
You may also communicate your opt-out request to SellBigger.io INC by email or postal mail by using the contact information at the bottom of this Policy.
How Do We Keep Your Information Secure?
We follow generally accepted industry standards to protect the information submitted to us, both during transmisSellBigger.io INCn and once we receive it. However, no method of Internet transmission or electronic storage is 100% secure. Therefore, while we strive to use commercially acceptable means to protect your information, we cannot guarantee its absolute security.
EU Residents
In the course of obtaining data to be included on the Site, if SellBigger.io INC obtains business contact information regarding an individual that SellBigger.io INC has reason to believe is based in the European Union, SellBigger.io INC will provide such individual with a notice detailing the information SellBigger.io INC has on such person, the purpose for which it will be used, and informing such person of their rights with respect to such information, including the right to know what information SellBigger.io INC possesses on them, to correct such information, or to opt out of data collection entirely. Information for Users in Europe & Elsewhere Outside the U.S.
If you use our Site outside of the United States, you understand that we may collect, process, and store your personal information in the United States and other countries. The laws in the U.S. regarding personal information may be different from the laws of your state or country. Any such transfers will comply with safeguards as required by relevant law.

SellBigger.io INC’s collection of Business Information, and the creation and licensing of SellBigger.io INC’s Public Profiles and Database, are within SellBigger.io INC’s legitimate interests to organize and make available business contact information given the limited impact of this data on an individual’s private life and that this information, unlike personal contact details, is widely disclosed. SellBigger.io INC has put in place safeguards to protect personal privacy and individual choice, including disclosures of its data processing activities, the use of consent or opt-outs wherever possible, and the implementation of a privacy center.
Right to lodge a complaint: Users that reside in the EEA or Switzerland have the right to lodge a complaint about our data collection and processing actions with the supervisory authority concerned. Contact details for data protection authorities are available here.
Transfers: Personal information we collect may be transferred to, and stored and processed in, the United States or any other country in which we or our affiliates or subcontractors maintain facilities. We sell personal information collected for our database to our customers. This database may contain information about consumers’ business personas including name, employer, job title, email address, phone number, office address, social media or profesSellBigger.io INCnal profile link, and work or educational history. This information is sold to SellBigger.io INC’s customers for the purpose of business-to-business sales and marketing and recruiting and is provided subject to license agreements that limit its use to those purposes.
A consumer has the right to opt out of the sale of that consumer’s personal information by SellBigger.io INC by visiting our Privacy Center and submitting a request to remove the consumer’s profile or delete the consumer’s data. A consumer may also contact us by email to support@SellBigger.io. In order to submit a request, a consumer or an authorized agent will be required to demonstrate that such person has control of an email inbox associated with the profile in question. If such a person cannot, then we may be contacted regarding other means of verifying such a person’s identity or the authorization of a third party to exercise a consumer’s rights on that consumer’s behalf.
In the preceding twelve (12) months, we have sold or disclosed the following categories of personal information for a business purpose:

The CCPA provides consumers (California residents) with specific rights regarding their personal information. This section describes a consumer’s CCPA rights and explains how to exercise those rights.
Access to Specific Information and Data Portability Rights
A consumer has the right to request that we disclose certain information to that consumer about SellBigger.io INC’s collection and use of that consumer’s personal information over the past 12 months. Once we receive and confirm a consumer’s verifiable consumer request, we will disclose:

Deletion Request Rights
A consumer has the right to request that SellBigger.io INC delete any of its personal information that we have collected and retained, subject to certain exceptions. Once we receive and confirm a consumer’s verifiable consumer request, we will delete (and direct our service providers and/or customers to delete) that consumer’s personal information from our records, unless an exception applies.
We may deny a consumer’s deletion request if retaining the information is necessary for us or our service providers or customers to:
(1) Complete the transaction for which we collected the personal information, provide a good or service that a consumer requested, take actions reasonably anticipated within the context of our ongoing business relationship with that consumer, or otherwise perform our contract with that consumer.

(3) Debug products to identify and repair errors that impair existing intended functionality.

(6) Engage in public or peer-reviewed scientific, historical, or statistical research in the public interest that adheres to all other applicable ethics and privacy laws, when the information’s deletion may likely render impossible or seriously impair the research’s achievement, if a consumer previously provided informed consent.
(7) Enable solely internal uses that are reasonably aligned with consumer expectations based on a consumer’s relationship with us.
(8) Comply with a legal obligation.
(9) Make other internal and lawful uses of that information that are compatible with the context in which a consumer provided it.
Exercising Access, Data Portability, and Deletion Rights

Only a consumer or a person registered with the California Secretary of State that a consumer authorizes to act on a consumer’s behalf, may make a verifiable consumer request related to a consumer’s personal information. A consumer may also make a verifiable consumer request on behalf of that consumer’s minor child.
A consumer may only make a verifiable consumer request for access or data portability twice within a 12-month period. The verifiable consumer request must:
– Provide sufficient information that allows SellBigger.io INC to reasonably verify a consumer is the person about whom we collected personal information or an authorized representative.
– Describe a consumer’s request with sufficient detail that allows SellBigger.io INC to properly understand, evaluate, and respond to it.

Response Timing and Format
We endeavor to respond to a verifiable consumer request within 45 days of its receipt. If we require more time (up to 90 days), we will inform the consumer of the reason and extenSellBigger.io INCn period in writing. We will deliver our written response by mail or electronically. Any disclosures we provide will only cover the 12-month period preceding the verifiable consumer request’s receipt. The response we provide will also explain the reasons we cannot comply with a request, if applicable. For data portability requests, we will select a format to provide a consumer’s personal information that is readily usable and should allow a consumer to transmit the information from one entity to another entity without hindrance.
We do not charge a fee to process or respond to a consumer’s verifiable consumer request unless it is excessive, repetitive, or manifestly unfounded.
